Terms of Service

1. Parties and acceptance

These Terms of Service (the "Terms") govern the relationship between Posthex ("we", "us", "Posthex") and the person who registers for or uses ("you") our social media management service (the "Service"). By creating an account, checking the consent box on the signup form, or using the Service in any way, you confirm that you have read, understood, and agreed to these Terms and the Privacy Policy If you do not agree to these Terms, you must not register for or use the Service.

2. Definitions

"Service": the web-based software offered under the Posthex brand, covering connecting social media accounts, creating, scheduling, and publishing content, and related features (bio page, AI suggestions, team management, and similar). "Account Holder": the person who registers for the Service and is party to the subscription. "Team Member": a person invited by an Account Holder who can act on the Account Holder's behalf with limited permissions. "Content": any text, image, video, or other material a user creates, uploads, or publishes through the Service.

3. Description and nature of the Service

Posthex lets you create content for, schedule, and publish it to your connected social media accounts (X/Twitter, Instagram, Facebook, LinkedIn, TikTok, YouTube, Pinterest, Threads, Bluesky), immediately or at a scheduled time, view engagement analytics across your platforms in one dashboard, and optionally get AI-assisted hashtag/SEO suggestions. The Service publishes to some platforms directly and to others through a third-party infrastructure provider (Post for Me). The Service is provided "as is" and "as available", with no guarantee that it will operate uninterrupted or error-free.

4. Account creation and eligibility

To register for the Service, you must be at least 18 years old and have the legal capacity to enter into a binding contract. You warrant that the information you provide at signup is accurate, current, and complete. If you're registering on behalf of an organization, you warrant that you're authorized to accept these Terms on its behalf.

5. Account security and responsibility

You're responsible for keeping your account credentials (including your password) confidential and for all activity carried out through your account. You must notify us immediately if you notice unauthorized access or suspect a security breach, and change your password. You may not transfer your account to, or share it with, anyone else — if you want to add collaborators, use the Service's own team management feature.

6. Team members

An Account Holder may invite Team Members who can act with limited permissions. The Account Holder is responsible for everything its Team Members do on the Service (including content they create or approve) and must ensure they comply with these Terms. You can revoke a Team Member's permissions at any time from your account settings.

7. Connected social accounts and third-party platforms

Connecting a social media account to the Service requires you to have accepted that platform's own terms of service and privacy policy — complying with them is solely your responsibility. Connected platforms restricting access, changing their APIs, suspending your account, or discontinuing service is outside our control, and we're not liable for disruption caused by these third parties. Part of the publishing flow runs through a third-party infrastructure provider (Post for Me); the same rule applies to any disruption or delay caused by that provider.

9. Subscription, billing, and cancellation

Paid plans are billed in advance for the period stated in the plan (monthly/yearly) and renew automatically; payments are processed by our payment processor, Paddle, acting as Merchant of Record, under Paddle's own terms. You can cancel your subscription at any time from your account settings; cancellation takes effect at the end of your current billing period, and no partial refund is given for the unused portion of that period. Price changes are announced at least 30 days before they take effect and don't affect your current billing period.

10. Right of withdrawal

Where applicable law grants consumers a right to withdraw from an online purchase within a cooling-off period (as recognized, for example, under the EU Consumer Rights Directive and similar frameworks in other jurisdictions), that right generally does not apply to digital services that are performed immediately, with your express consent and acknowledgment that you thereby lose the right of withdrawal. By subscribing to a paid plan and beginning to use the Service (e.g. by connecting a social account or creating a post), you acknowledge and agree that your right of withdrawal ends at that point, to the extent permitted by applicable law. If you haven't used the Service at all, you may exercise any withdrawal right available to you under your local law by contacting us at the address in the Contact section, within the period that law provides.

11. Intellectual property

The Posthex brand, logo, interface, software, and all related intellectual property rights belong to us or our licensors; these Terms transfer no rights in them to you. Your Content belongs to you — to provide the Service, you grant us only a worldwide, non-exclusive, non-sublicensable technical license to store, process, generate previews of, and, at your direction, transmit your Content to the relevant platform. This license ends when you delete your account or remove the relevant Content.

How we process your personal data is described in our separate Privacy Policy, which is incorporated into and forms part of these Terms.

13. Disclaimer of warranties and limitation of liability

The Service is provided "as is" and "as available"; to the maximum extent permitted by applicable law, we make no warranties, express or implied, including of merchantability, fitness for a particular purpose, or uninterrupted operation. To the maximum extent permitted by applicable law, we are not liable for indirect, incidental, special, or consequential damages, including loss of profit, data, or goodwill, or damages arising from a third-party platform restricting or changing access. Our total liability will not, in any event, exceed the total amount you paid us for the Service in the 12 months preceding the event giving rise to the claim. These limitations don't apply where applicable law doesn't permit limiting or excluding liability.

14. Indemnification

You agree to indemnify us, our employees, and our business partners against any third-party claim, damage, loss, and expense (including reasonable legal fees) arising from your violation of these Terms or applicable law, or from your Content.

15. Suspension and termination

You may close your account at any time from your account settings; closing it doesn't affect fees already accrued. We reserve the right to suspend or terminate your account, with or without prior notice, if you violate these Terms, misuse the Service, or act contrary to applicable law. Upon termination, your Content is deleted per the retention periods described in the Privacy Policy.

16. Force majeure

We're not liable for failing to provide the Service due to natural disaster, war, epidemic, widespread outages originating from our infrastructure providers (including Supabase, Paddle, and Post for Me) or connected social media platforms, changes in law, or similar events reasonably beyond our control.

17. Assignment

You may not assign your rights or obligations under these Terms to a third party without our prior written consent. We may assign these Terms, with notice to you, in connection with a merger, acquisition, or asset sale.

18. Severability

If a competent court finds any provision of these Terms invalid or unenforceable, the remaining provisions remain in full effect; the invalid provision is deemed replaced with a valid one that most closely reflects the parties' original intent.

19. Changes to these Terms

We may update these Terms from time to time. We'll notify you of significant changes by email or in the app before they take effect. Continuing to use the Service after updated Terms take effect means you accept them.

20. Governing law and dispute resolution

These Terms are governed by the laws of England and Wales, without regard to conflict-of-laws principles. Any dispute arising out of or in connection with these Terms that cannot be resolved informally will be finally resolved by binding arbitration under the Rules of Arbitration of the International Chamber of Commerce (ICC), by one arbitrator, seated in London, England, conducted in English. This clause does not deprive you, if you qualify as a consumer under the mandatory law of your country of habitual residence, of the protection afforded by the provisions of that law which cannot be derogated from by agreement, or of your right to bring proceedings before the courts of that country where such law requires.
